Introduction
Welcome to Chronicle. These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Chronicle Technology, Inc. ("Company", "we", "us", or "our"), concerning your access to and use of the Chronicle software-as-a-service (SaaS) platform (the "Service"). The Terms might be updated from time to time.
Acceptance of Terms
By registering for, accessing, or using the Service, you agree to be bound by these Terms, as they are updated from time to time. If you do not agree to these Terms, you must not access or use the Service.
Access to SSA ERE
You acknowledge that Chronicle facilitates access to the Social Security Administration: Electronic Records Express ("SSA ERE"). By using this Service, you are representing and warranting that you are authorized to access the SSA ERE on behalf of your client or any third party whose data you are requesting. In addition, you are granting the Company a limited, revocable right to access the SSA ERE data on behalf of your client or any third party whose data you are requesting. You are responsible for ensuring that such access is compliant with all guidelines, policies, and laws established by the SSA.
Subscription Fees
The Service is provided on a subscription basis. The specific terms of your subscription, including the fees, are outlined in your Subscription Agreement with Chronicle Technology, Inc. Non-payment or late payment of any subscription fees may result in the termination of your access to the Service and/or the termination of your Subscription Agreement.
Subprocessors
To provide our Service, we utilize certain third-party subprocessors who process personal data on our behalf. These subprocessors include but are not limited to the following:
Amazon Web Services (AWS): Used for cloud infrastructure and data storage.
OpenAI: Provides artificial intelligence and machine learning services.
Anthropic: Utilized for advanced AI processing capabilities.
Weaviate: Used for cloud infrastructure and data storage.
By using our Service, you acknowledge and agree to our use of these subprocessors in accordance with our Privacy Policy and these Terms. From time to time, the Company may engage in additional subprocessors as it enhances its service offerings. By continuing your use of the Service, you are consenting to these additional subprocessors.
User Conduct and Responsibilities
You are responsible for all activities conducted under your user account. You agree to:
Abide by all applicable laws and governmental regulations.
Maintain the security of your account credentials.
Immediately notify us of any unauthorized use of your account.
Intellectual Property Rights
The Service and all its components, including all intellectual property rights (“Chronicle Intellectual Property”), are owned by Chronicle Technology, Inc. and are protected by intellectual property laws. You are granted a limited, revocable, non-assignable, non-sublicensable use of Chronicle Intellectual Property during the term of your Subscription Agreement in deliverance of the Service. Upon the termination of your Subscription Agreement, your grant to Chronicle Intellectual Property will automatically terminate.
Data Protection
Your privacy is important to us. Our Privacy Policy, which is part of these Terms, describes how we collect, use, and protect your personal information.
Termination of Use
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.
Dispute Resolution
All disputes arising out of or in connection with these Terms shall be resolved by binding arbitration in Delaware, except where prohibited by law.
Changes to the Service
We reserve the right to withdraw or amend our Service, and any service or material we provide via the Service, in our sole discretion without notice.
Suspension of Services
From time to time, we may have to temporarily or permanently suspend our services due to circumstances outside of our control (ex. SSA ERE website is unavailable). In the event that we have to permanently suspend our services to you, it would be considered a termination event under the Subscription agreement. You would still be liable for all fees incurred prior to the suspension.
User-Generated Content
If the Service allows you to post or upload user content, you grant us the right to use, modify, perform, display, reproduce, and distribute such content on and through the Service.
Communication Preferences and Consent
Account Notifications via Text Messages: By providing your phone number to us during account registration or update of your account details, you explicitly consent to receive text messages from us related to your account. These messages may include but are not limited to account verification, security alerts, updates, and other notifications necessary for the operation and security of your account.
Opt-In Consent: You affirm that you are the subscriber to the provided cellular phone number or that you are authorized by the subscriber to consent to receive text messages to this number. Your consent to receive text messages is not a condition of any purchase or service provided by us.
Opt-Out Option: You may opt out of receiving text messages at any time by following the opt-out instructions included in the text message or by modifying your account settings. Please be aware that opting out of receiving text messages may affect the use and functionality of our services.
Message and Data Rates: Standard message and data rates may apply to any text messages sent or received. Please consult with your wireless carrier for applicable charges.
Changes to Your Contact Information: It is your responsibility to keep your contact information, including your phone number, up to date in your account settings to ensure effective communication. If you provide a landline phone number, you may not be able to receive text message based notifications and alerts.
Amendments: We reserve the right to amend this communication preference policy at any time. Any changes will be effective immediately upon posting the revised Terms of Service on our website. Your continued use of our services after such changes have been posted constitutes your consent to such changes.
Limitation of Liability
In no event will Chronicle Technology, Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
Disclaimer
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is provided without warranties of any kind, whether express or implied.
Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
